1. Introduction
These Terms & Conditions (“Terms“) form a legally binding agreement between you (“User“ or “Buyer“) and Newworvixa Commerce Pvt Ltd (“Newworvixa“, “we“, “us” or “our“), a company incorporated in India under the Companies Act, 2013.
These Terms are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT Rules 2021“) and Section 5 of the Consumer Protection (E-Commerce) Rules, 2020. This is an electronic record and does not require any physical or digital signature.
By clicking “I Agree”, registering, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms, the Privacy Policy, the Return Policy, the Refund Policy, the Shipping Policy, and all other policies referenced herein.
2. Definitions
- Platform means the Neworvixa website, mobile applications, and any related services offered by Neworvixa Commerce Pvt Ltd.
- Buyer means any registered user purchasing products through the Platform.
- Order means a request placed by a Buyer through the Platform for the purchase of one or more products.
- Payment Aggregator (PA) means an RBI-authorised entity engaged by Florvanta to facilitate collection and disbursement of funds under the RBI Guidelines on Regulation of Payment Aggregators and Payment Gateways dated 17 March 2020 (as amended).
3. Eligibility
You must be at least eighteen (18) years of age and competent to contract under the Indian Contract Act, 1872 to use the Platform.
4. Account & Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Neworvixa shall not be liable for any loss arising from unauthorised use of your account. You must immediately notify us at grievance@neworvixashop.com upon becoming aware of any unauthorised use.
5. Buyer Terms
- Buyers must provide accurate delivery address, contact number, and payment information.
- Buyers must inspect products upon delivery and raise any concerns within the timelines set out in our Return Policy.
- Buyers agree not to place fraudulent orders, mis-use Cash on Delivery, or engage in refund abuse.
6. Pricing, Taxes & GST
All prices displayed on the Platform are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise. Neworvixa may collect and deposit Tax Collected at Source (TCS) under Section 52 of the CGST Act, 2017 where applicable.
7. Payments & RBI Compliance
All online payments on the Platform are processed by an RBI-authorised Payment Aggregator in accordance with the RBI Guidelines on Regulation of Payment Aggregators and Payment Gateways dated 17 March 2020 (as amended from time to time). Buyer funds are held in an escrow / nodal account maintained by the Payment Aggregator with a scheduled commercial bank and are not co-mingled with the working capital of Neworvixa.
Neworvixa does not store any card numbers, CVV, UPI PIN, net-banking passwords, or full payment credentials on its own systems. All payment data is tokenised and stored by the Payment Aggregator in accordance with the RBI Card-on-File Tokenisation framework and Payment Card Industry Data Security Standard (PCI-DSS).
Cash on Delivery (COD) is offered subject to serviceability and may be withdrawn without notice in accordance with the RBI framework on prepaid instruments and the Consumer Protection (E-Commerce) Rules, 2020.
Chargebacks & unauthorised transactions: Buyers may report unauthorised or disputed electronic transactions in accordance with the RBI Circular on Limiting Liability of Customers in Unauthorised Electronic Banking Transactions (DBR.No.Leg.BC.78/09.07.005/2017-18 dated 6 July 2017) by writing to grievance@neworvixashop.com within three (3) working days.

9. Returns, Refunds & Cancellations

10. Prohibited Conduct
Users shall not:
- Post any content that is unlawful, obscene, defamatory, or violates any third-party rights, in contravention of Rule 3(1)(b) of the IT Rules 2021.
- Engage in phishing, spoofing, scraping, or unauthorised access to the Platform.
- List prohibited goods (narcotics, wildlife, hazardous chemicals, replicas, counterfeit goods, obscene material, weapons, etc.).
- Manipulate reviews, ratings, or search rankings.
- Attempt to circumvent the Platform to transact off-platform.
11. Intellectual Property
All trademarks, logos, service marks, and content on the Platform, are the exclusive property of Neworvixa Commerce Pvt Ltd or its licensors. Unauthorised use is strictly prohibited.
12. Privacy & Data Protection
Your personal data is processed in accordance with our Privacy Policy, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023 (as and when notified).
13. Limitation of Liability
To the maximum extent permitted by law, Neworvixa’s aggregate liability arising out of or relating to a transaction shall not exceed the amount of Commission actually received by Neworvixa on such transaction. Neworvixa shall not be liable for any indirect, incidental, consequential, or punitive damages.
14. Indemnity
You agree to indemnify and hold harmless Neworvixa, its officers, directors, employees, and agents from any claims, damages, or expenses arising from (i) your breach of these Terms, (ii) violation of applicable law, or (iii) infringement of third-party rights.
15. Suspension & Termination
Neworvixa reserves the right, at its sole discretion, to suspend, restrict, or terminate any account for violation of these Terms, applicable law, or upon receipt of a valid legal request from a governmental authority.
16. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause below, the courts at Kolkata, West Bengal shall have exclusive jurisdiction.
17. Dispute Resolution & Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved amicably within thirty (30) days. Failing amicable resolution, the dispute shall be referred to arbitration by a sole arbitrator appointed by Neworvixa, conducted under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Kolkata, West Bengal, India. The language shall be English.
18. Grievance Officer

19. Changes to Terms
Neworvixa may modify these Terms at any time. Material changes shall be notified via email or on-Platform notice at least seven (7) days before the effective date. Continued use of the Platform after the effective date shall constitute acceptance.
